Terms of Service

These Terms of Service govern the legal relationship between Beet Automation (Buğra Kaan ALP) and the party purchasing services ("Client"). Please read these terms carefully before engaging our services.

1. Parties and Scope

These Terms govern the contractual relationship between Beet Automation (Buğra Kaan ALP), a sole trader based in Turkey ("Beet Automation"), and any natural or legal person purchasing freight automation services ("Client").

These Terms apply to all project agreements and service contracts entered into between the parties from the effective date onward.

2. Scope of Services

Beet Automation provides design and development services for freight automation systems, including TMS integration, EDI pipelines, bill of lading (BOL) automation, and compliance workflows.

The scope of each engagement is agreed in writing before work begins. Scope changes are only valid upon a written change order signed by both parties.

  • Audit (₺18,500 / €1,200) — Process analysis and automation roadmap
  • Single Workflow (₺55,000 / €3,500) — Development and delivery of one automation workflow
  • Sprint (₺155,000 / €9,500) — Comprehensive sprint-based automation development
  • Monthly Retainer (₺12,500/mo / €950/mo) — Ongoing support and development

3. Client Obligations

The Client is responsible for providing Beet Automation with timely and complete access to TMS credentials, EDI accounts, and technical integration documentation.

Requested feedback during the project is expected within 5 business days. Delays may affect the project timeline and cost estimates.

4. Payment Terms

For project work, the payment schedule is: 50% upfront at project commencement; 50% upon final delivery approval. Invoices are due within 7 business days of issue.

Monthly retainer services are invoiced in advance at the start of each calendar month.

Overdue payments accrue interest at 5% per month. Beet Automation reserves the right to suspend work during payment delays.

5. Intellectual Property

The Client holds full and exclusive ownership of all custom code, automation flows, and technical solutions delivered by Beet Automation.

Beet Automation retains rights to general methodologies, frameworks, tools, and reusable components that are not specific to the Client's project; these may be used in other engagements.

Acquisition and compliance with third-party software licences embedded in delivered solutions is solely the Client's responsibility.

6. Confidentiality

Both parties agree not to disclose trade secrets, technical information, or business processes learned through the service relationship to third parties.

This obligation survives termination of the service relationship for 3 years. Publicly available information and legally required disclosures are excluded.

7. Delivery and Acceptance

Final delivery is not considered complete without the Client's written acceptance. Beet Automation notifies the Client in writing when delivery is ready for review.

If the Client neither provides written acceptance nor raises written objections within 5 business days of the delivery notification, the delivery is deemed accepted.

8. Limitation of Liability

Beet Automation's maximum aggregate liability for any claim arising under a project is limited to the total fees paid for that project.

Beet Automation is not liable for indirect, consequential, or unforeseeable damages, including but not limited to loss of profit, data loss, business interruption, or third-party claims.

Project deliveries include 30 days of post-launch support; this does not constitute a bug guarantee and carries no service level agreement (SLA).

9. Termination

Either party may terminate by giving 30 days' written notice. Fees for work completed up to the date of termination are non-refundable.

Beet Automation may terminate immediately with 7 days' written notice if the Client fails to meet payment obligations or materially breaches these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Turkey. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Istanbul Anatolian Courts.

11. Changes to These Terms

Beet Automation may update these Terms from time to time. Material changes will be notified by email to founder@beetautomations.com at least 14 days before taking effect.

Continued use of our services after notification constitutes acceptance of the updated Terms.
